What does a fractional general counsel do for entity formation?

A fractional general counsel forms the entity and builds the legal foundation around it: LLCs, corporations, nonprofits, cap tables, founder and operating agreements, and equity plans. At GC Bench this is usually the first project for a new client, billed hourly or as a flat monthly fee, and set up to support the business as it grows.

What this covers

  1. (a)

    Formation

    LLCs, corporations, nonprofits

The entity itself, made official when you're ready: an LLC, a corporation, or a nonprofit, set up right from day one.

  2. (b)

    Founder and operating agreements

    The founding documents

The agreements that set out how the founders own and run the company, written early, while the answers are still cheap.

  3. (c)

    Cap tables and equity plans

    Ownership

Ownership recorded correctly from the start, and equity plans built to support the team as you grow.

How it starts

Entity formation is usually the first project GC Bench takes on for a new client.

It begins with a thirty minute intro call: a direct conversation about your business, your goals, and your legal priorities. From there the engagement is scoped to your volume and risk, and billed hourly or as a flat monthly fee. Tailored to your budget. No surprises. Read more about how an engagement works.
